Corporate Attorney Job Description
DKMO, a 15 attorney law firm in downtown Arlington Heights, is seeking an experienced corporate attorney to help serve and expand its growing corporate practice, which currently includes over 500 entities. Responsibilities include organization and maintenance of corporations, LLCs, partnerships and NFPs; negotiation and preparation of shareholder/operating agreements; negotiation and preparation of documents, due diligence, schedules, spreadsheets and closing statements for M&A transactions; consultation and documentation regarding a wide variety of entity actions; direct interaction with clients and state and regulatory authorities; and assistance with other projects and duties as assigned. Experience in related areas including commercial real estate transactions and leasing, employment law, succession planning, intellectual property, and with data management software is desirable, but not mandatory.
Position requires a minimum of two (2) years corporate legal experience, preferably in a law firm, including knowledge of how different entities are created and operate; experience with mergers and acquisitions and equity and debt financing; strong verbal and written communication skills; proficiency in Word, Excel and Outlook; willingness to learn, a good attitude and strong team spirit. Salary based on qualifications; discretionary bonuses available.
